DMUT User Service Agreement

DMUT Agent (“DMUT”) is provided by 在地量化（温州）数据科学有限公司 (Unified Social Credit Code 91330302MAECM2C72U, “we” or “us”). This Agreement applies to the DMUT software, authorization service, official website, update service and related support.

Before creating an account, requesting access or a quote, activating a license or using DMUT, read this Agreement, the Privacy Policy, Invitation Authorization Terms and Model and Data Processing Notice. Checking an acceptance box, activating or continuing to use the applicable service means that you accept the displayed version. We obtain separate consent where law requires it.

1. Service and editions

  1. DMUT is a local-first agent workspace for Projects, conversations, workflows, tools, file and terminal operations, model connections, authorization and software updates. Features depend on the edition, plan and interface shown to you.
  2. The CN edition lists only mainland-China model endpoints and local loopback models. The Global edition is supplied through contact-based quotes and authorization. Software authorization never includes third-party model API, compute or network charges unless a signed order expressly says otherwise.
  3. The Hosted Model plan is not for sale. A function, edition or installer not listed on the official website is not an availability promise.
  4. Some functions depend on an operating system, network, model provider or other third-party service and are subject to that provider’s terms.

2. Account, invitation and authorization

You must provide accurate information and protect your account, invitation, authorization code and devices. Invitations and licenses may not be sold, rented, shared, transferred, used for bulk registration or used to evade device restrictions. An individual authorization permits no more than two activated devices; team and enterprise limits are controlled by the applicable quote, order or contract.

Devices can be unbound through the product or support process. We may investigate and suspend, revoke or restrict credentials reasonably suspected of theft, fraud, attack or material breach, with an appeal channel. You must have legal capacity to enter this Agreement. Minors may use DMUT only with appropriate guardian consent and supervision.

3. Models, tools and content

  1. DMUT primarily uses bring-your-own-key (BYOK) connections. Model requests normally go directly from your device to your selected model provider; that provider controls model capability, pricing, content governance and data processing. Do not submit secrets or unnecessary personal or sensitive information.
  2. Local models are restricted to loopback addresses. You are responsible for acquiring, operating and securing local model software and weights; no model weights are promised as part of the installer.
  3. File, terminal, browser, network, messaging and automation tools may read, create, modify, upload or send data. Review the target, scope and consequence before execution.
  4. You retain rights in lawful content you provide. You grant us only the non-exclusive processing rights necessary to provide and secure the service you use. We do not claim ownership of your private work or train general-purpose models on it unless a separate, explicit agreement says otherwise.
  5. Model outputs may be inaccurate, incomplete, outdated, biased or insecure. They are not medical, legal, financial, securities, employment or safety advice. A suitably capable person must review material results.
  6. Where AI-generated or synthetic content must be labelled, you must retain applicable visible and metadata labels, must not remove, alter, forge or help evade them, and must make required disclosures when publishing.

4. Acceptable use

Do not use DMUT to violate law or public interests; infringe personal, property, intellectual-property, privacy or data rights; create or distribute illegal content; commit fraud, malware, intrusion, harassment or discrimination; access systems or data without authorization; scan, stress, disrupt or evade security, authorization, device, quota or audit controls; falsify origin or AI labels; or make a high-impact decision that law prohibits from being made solely by automation.

5. Pricing, renewal and invoices

Current public plans use invitation or manual quotes. The website does not collect online payment or enable automatic renewal. The final currency, tax, term, seats and service scope are controlled by the formal quote, order or contract. If automatic renewal is introduced, we will prominently disclose the charge and cancellation rules, give any legally required reminder and provide an easy cancellation method. Refunds and expiry are governed by the Subscription, Renewal and Refund Policy. Mandatory consumer rights remain unaffected.

6. Updates and service changes

DMUT’s own update service provides security, feature, catalogue and compatibility updates. Serious security or compliance risks may require a minimum safe version. Material changes to these terms receive a new version and effective date, reasonable notice and renewed consent where required. A service may be adjusted or discontinued because of law, security, third-party changes or business needs, subject to applicable notice, data handling and refund duties.

7. Intellectual property

DMUT software, interfaces, marks, documentation and services belong to us or their respective rights holders. Open-source components remain subject to their licenses and third-party marks belong to their owners. Except where law or written authorization permits, you may not sell, copy, reverse engineer, evade technical protection or make commitments in DMUT’s name.

8. Responsibility

We provide the service with legally required care and proportionate security measures, but do not guarantee model accuracy or uninterrupted third-party services. Responsibility for unlawful use, unsafe configuration, unreviewed high-impact actions or disclosed keys rests with the responsible party.

Nothing excludes liability that cannot lawfully be excluded, including liability for wilful misconduct or gross negligence, personal injury and mandatory consumer rights. For a non-consumer business user and only where lawful, our aggregate liability for an affected service is limited to fees actually paid for that service during the 12 months before the loss; this does not apply to non-excludable liability.

9. Suspension, termination and data

You may stop use and request account deletion. Expiry or revocation can end paid benefits and online authorization; local data is handled according to product functions and law. A material or continuing breach may result in suspension or termination after review. Urgent security risks may be contained first with an explanation afterward. Export, deletion and account closure follow the Privacy Policy.

10. Governing law and disputes

This Agreement is governed by the laws of mainland China. Disputes should first be discussed in good faith and may then be brought before a court with jurisdiction under applicable law. Consumers may also seek help from consumer organizations, market-regulation authorities or other competent bodies.
