DMUT User Service Agreement

1. Scope

This Agreement applies to DMUT Agent, DMUT Agent CN, software authorization, downloads, updates and support (together, the “DMUT Services”). Third-party models, plugins, MCP servers, Skills, messaging platforms and other external services remain subject to their own terms.

Before installing, activating or using a DMUT Service, read this Agreement, the Privacy Policy, the Model and Data Processing Notice and, where applicable, the Invitation Terms. A service-specific document controls if it conflicts with a general document.

2. Accounts and authorization

  1. DMUT does not offer an unrestricted public free edition. Initial access is granted through invitation codes, partner authorization or an administrator allowlist.
  2. Authorized-user access does not include model API charges. Users pay model providers directly.
  3. Unless agreed otherwise in writing, an account may have no more than two active devices.
  4. Invitation codes, tokens, entitlement files and accounts may be used only by their authorized recipient and may not be sold, leased, published or shared.
  5. Users must provide accurate contact information and protect their email account, devices and invitations.
  6. We may suspend or revoke authorization for security, compliance, device-limit violations, expiry, breach of this Agreement or erroneous issuance.
  7. Offline authorization is time-limited and must refresh before its grace period ends.

3. Software licence

While authorization remains valid, we grant a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to use DMUT on approved devices and in approved regions.

Except where applicable law expressly permits it, users must not:

  • bypass authorization, device limits, approval gates or security controls;
  • reverse engineer, crack or alter signatures, remove notices, or distribute unauthorized derivative packages;
  • use DMUT to infringe intellectual property, privacy, confidentiality or other lawful rights;
  • distribute malicious code, gain unauthorized access, attack services, commit fraud or evade regulation;
  • resell invitation access or provide an unauthorized managed service to third parties.

Nothing in this clause limits rights granted directly by an open-source component licence. Applicable notices ship with the software.

4. Models and external services

In BYOK mode, users choose a provider and supply their own API key. Keys are stored in the operating-system credential store. Prompts, attachments and tool results sent to an external model are governed by the user’s relationship with that provider.

Local-model traffic is sent to the endpoint configured by the user. DMUT Agent CN exposes only model interfaces allowed by its distribution policy; the Global and CN catalogues differ.

Model output may be inaccurate, biased or unsuitable for professional use. Qualified people must review medical, legal, financial, safety and other high-risk conclusions.

5. Tools, workflows and local files

With user approval, DMUT may read files, execute commands, access networks, run workflows or connect to external systems. These actions may modify or delete data, incur charges or affect third-party systems.

Users must limit Projects to necessary folders, review high-impact actions, maintain backups or version control, keep secrets out of chats and files, and review final deliverables and external communications.

6. Updates

We may provide security fixes, features, catalogue changes and compatibility updates. Serious security or compliance risks may require a minimum supported version. Material term changes will receive a new version and, where required, renewed acceptance.

7. Intellectual property

DMUT branding, non-open-source software, interface, documentation and services belong to us or their respective rights holders. Users retain rights in their input files and lawful outputs. We do not acquire ownership of user content merely by providing authorization or software operation.

Feedback may be used to improve DMUT provided we do not disclose the user’s confidential information.

8. Availability and support

Invitation access is a controlled initial-release service without a commercial SLA or a guarantee of continuous compatibility with every third-party service. Support scope and response targets appear in the Support and Security Response Policy.

9. Responsibility boundaries

To the maximum extent permitted by law, DMUT is provided as available. We do not guarantee model output, external services, plugins or user-authored workflows.

We are not responsible for loss caused by user configuration, third-party services, unreviewed automation, loss of data or use outside documented boundaries. Liability that cannot lawfully be excluded remains unaffected.

Except for wilful misconduct, gross negligence, infringement of personal rights or mandatory law, the candidate aggregate-liability cap is the software authorization fees actually paid in the twelve months before the event. For a no-charge invitation, the candidate cap is CNY 500. Legal counsel must approve the final cap.

10. Termination

Users may stop using DMUT and release devices. Restricted functions stop when an entitlement expires, is revoked or this Agreement ends. Intellectual-property, confidentiality, liability and dispute terms that must survive will continue.

11. Governing law and disputes

This candidate is governed by the laws of mainland China. The parties should first seek an amicable resolution; failing that, the candidate forum is a competent people’s court at the operator’s domicile. Mandatory consumer protections for Global users are not excluded. Legal counsel must confirm the final governing-law and venue wording for each launch region.
